Description of activity
"Azoty Tarnów" is one of the largest Polish chemical companies. Its main activity is the production and sale of engineering plastics, intermediates for their manufacture and mineral fertilizers and chemicals. "Azoty Tarnów" is one of the few European integrated manufacturers of caprolactam and polycaprolactam (PA 6) - Tarnamid ®, and the only manufacturer of polyacetal plastics (POM) - Tarnoform ®. The company is also an important producer of fertilizers - it is a leading manufacturer of fertilizers with high sulphur content. Almost 70% of sales volume is exported, mainly to the EU countries. As the only chemical company in Poland, "Azoty Tarnów" uses local sources of natural gas, which is the main raw material for the chemical industry. The company consistently develops its business activity by investing in the areas defined in its prospectus including production of fertilizers and improvement of plastics production capacity. "Azoty Tarnów" operates according to the model of "corporate group" in order to adapt the business to changing market conditions and strengthen its position in chemicals markets, creating a strong foundation for future development. In 2010, Tarnow Azoty acquired 100% of shares in a German company producing polyamides, located in Guben. Currently the company operates as ATT Polymers. The most important event of 2010 was the acquisition of a controlling stake in one of the largest companies in Great Chemical Synthesis sector in Poland - "ZAK S.A." (formerly "Zakłady Azotowe Kędzierzyn"). In 2011, Azoty Tarnów continued consolidation process of the chemical sector, through taking the control over Zakłady Chemiczne Police S.A., having reached, upon the call, 66% in the initial capital of the ZCHPolice S.A. Using the latest technological solutions, "Azoty Tarnów" actively protects the environment and benefits from environmental-friendly activities. The company, as one of the first Polish companies, fulfils the recommendations of the UN Framework Convention on Climate Change (the Kyoto Protocol), by implementing a Polish-Japanese Joint Implementation project for reducing greenhouse gas emissions (Emission Reduction Units, ERU). For nearly 85 years the company has been continuing its urban-developing mission, remaining the largest local sponsor in the Tarnów area. Since 2009, "Azoty Tarnów" has been listed on RESPECT index, which is a tool for promoting environmental issues, social matters and corporate governance and which presents 16 Polish listed companies recognized as the most socially responsible.

Planned privatisation
The State Treasury owns 32,05% of the company’s shares. According to the Agreement signed on 14 July 2011, between the State Treasury and the Managers of the public offer of the company’s shares, series C, regarding 180 days lock-up on the shares of the company, from the day of listing at the Warsaw Stock Exchange of the single right issues for the shares, series C, the Ministry of the Treasury is planning to start the privatization process in the Q1, 2012.
