The Department of Privatisation performs duties related to privatisation, with the exception of privatisation conducted through the Warsaw Stock Exchange (GPW):
-
within the scope of direct privatisation:
a) implementation of direct privatisation processes in state-owned enterprises for which the Minister of the Treasury is the founding body;
b) preparation of motions submitted to the Council of Ministers requesting permission for direct privatisation of state-owned enterprises/research and development facilities which fail to meet the statutory criteria and with respect to which the Minister of the Treasury performs the function of a founding/supervisory body; -
within the scope of indirect privatisation:
a) development of privatisation plans for each year and specification of envisaged privatisation revenues for subsequent years;
b) submitting recommendations for initiation and implementation of a privatisation process to the relevant Senior Official of the Ministry;
c) co-operation with the Ministry unit relevant for public procurement matters in the procedure aimed at selection of the privatisation advisor and with the organisational unit competent for matters associated with reception of the analyses elaborated by the advisor;
d) performance of privatisation activities by means of the methods set forth in the Commercialisation and Privatisation Act and submission of recommendations with respect to the undertaken activities, in particular concerning the selection of the buyers of shares, to the relevant Senior Official in the Ministry;
e) elaboration of draft privatisation agreements;
f) implementation of activities aimed at the conclusion of the privatisation agreements;
g) preparing modifications of the terms and conditions of privatisation agreements in collaboration with the unit of the Ministry competent in the matters related to the monitoring of Treasury dues, subject to the tasks carried out by Regional Offices of the Treasury (item 6 and 9 of Regional Offices tasks);
h) submitting obligatory requests to the organisational unit at the Ministry of Treasury competent in the matters related to restitution claims for opinions regarding property restitution claims, referred to in Article 56(1)(1) of the Commercialisation and Privatisation Act of 30 August 1996 (Journal of Laws of 2002 No. 171, item 1397, as amended);
i) submitting obligatory requests to the organisational unit at the Ministry of Treasury competent in the matters related to free-of-charge transfer of shares for opinions regarding possible sale of shares remaining after conclusion of the process of free-of-charge transfer of shares in individual companies.
In state-owned companies with Treasury’s shareholding not exceeding 25% (except for companies in which the ownership supervision is exercised by other organisational units of the Ministry), the Department carries out the following tasks:

exercising of Treasury rights and performance of its duties arising from participation in commercial code companies, in particular:
a) exercising voting rights along with other corporate and property rights of a partner/shareholder;
b) performance of acts pertaining to exercising of rights and duties of a partner/shareholder, in particular appointment of members of companies’ corporate bodies, endorsement of financial accounts, increase or decrease of the initial capital, redemption of shares, non-cash contribution of shares to another entity, division, merger, or transformation of companies;
c) monitoring the economic and financial situation of companies; - co-operation with Treasury representatives in supervisory boards;
- conducting periodical inventory of shares held by the State Treasury in capital companies;
- evaluation of the rationale behind entrepreneurs applications for granting of state aid;
- the tasks referred to above do not comprise the tasks with which other organisational units are entrusted.
Department of Privatisation maintains databases on supervised enterprises and companies, and elaborates information concerning the economic and financial standing of supervised entities according to principles set forth in a separate ordinance of the Minister.
Department maintains databases on privatisation projects under implementation.
In privatisation processes conducted by the Department, relevant organisational units exercising ownership supervision cooperate with the Department and implement the necessary activities in scope of ownership supervision related to the conducted processes.
