Department of Restructuring and Public Aid

Tasks

  1. The department performs tasks defined in items 1 and 3 of the specification of tasks of the Department of Ownership Supervision, in relation to:

    1. companies with the State Treasury shareholding indicated by the Minister in a separate ordinance;

    2. companies with the State Treasury shareholding included in the capital group where a parent entity is the company referred to in the item above.

  2. The department performs tasks in the scope of restructuring in relation to companies indicated by the Minister, with the aim of preparing the company to privatisation.

  3. The department performs tasks in the scope of public aid and support other than public aid:

    1. defining of directions of public aid granted by the Minister and drawing up annual reports in this scope;

    2. conducting and coordination of the Ministry’s activities in the scope of proceedings before the European Commission concerning issues related to public aid and the transparency of financial relations between public authorities and public entrepreneurs;

    3. coordination and preparation of the Ministry’s position towards the European Commission’s initiatives in the area of public aid;

    4. coordination of implementation of the obligations arising from regulations concerning the transparency of financial relations between the public authorities and public undertakings and on the financial transparency of some entrepreneurs;

    5. implementation of tasks associated with the monitoring and reporting of public aid granted by the Minister, in particular:

      1. preparing opinions on requests of entities applying for granting public aid by the Minister,

      2. implementation of the obligations arising from regulations concerning the transparency of financial relations between the public authorities and public undertakings and on the financial transparency of some entrepreneurs,

      3. preparing opinions on the compliance with the regulations on public aid, including the European Union regulations, draft acts of law and legal activities related to the disposal of the State Treasury assets, including, in the scope of their classification to the category of public aid or support other than public aid, excluding draft agreements for sales of stocks/shares not containing the non-price investment or employee commitments, prepared according to the template included in a separate ordinance of the Minister or Director-General, or accepted in formal and legal terms by the Legal Department or the Legal and Litigation Department, approved by the Department of Restructuring and Public Aid within its scope of competence,

      4. preparing draft agreements on granting aid for saving or restructuring, or drafts of their annexes,

      5. drawing up and submission of a report in the scope of public aid granted by the Minister and entities supervised by it to the Office for Competition and Consumer Protection,

      6. examining the accuracy and effectiveness of use of public aid granted by the Minister and implementation of provisions of agreements on granting public aid in the scope of return of the public aid amount used contrary to its allocation or provided based on inaccurate data, including the preparation of the relevant declarations in this area;   

    6. development of the financial plan, management of funds deposited on the account of the special purpose Entrepreneurs’ Restructuring Fund and drawing up a report on its execution;

    7. implementation of tasks associated with granting, monitoring and reporting of support other than public aid granted by the Minister to entrepreneurs, in particular:

      1. examining requests of entrepreneurs applying for granting support other than public aid as well as coordination and cooperation with the competent organisational units of the Ministry of Treasury in the scope of granting support other than public aid,

      2. preparing draft agreements on granting support other than public aid, or drafts of their annexes,

      3. examining the accuracy and effectiveness of use of the support other than public aid granted by the Minister and cooperation with the competent organisational units in the scope of return of the received support amount, including the preparation of the relevant declarations in this area,

      4. indicating proposed solutions in the scope of modifications of requests of entrepreneurs applying for granting support other than public aid;

    8. keeping the register of entrepreneurs applying for granting public aid and support other than public aid and the register of entrepreneurs to whom public aid and support other than public aid was granted by the Minister;

    9. collecting, processing and provision of information on granting public aid and support other than public aid by the Industrial Development Agency (Agencja Rozwoju Przemysłu S.A.) in the scope of spending public funds transferred by the Minister.

  4. The department secures interests of the State Treasury at all stages of the liquidation proceedings and bankruptcy proceedings against companies and state-owned enterprises supervised by the Minister, including those which do not conduct business operations, through:

    1. exercising rights and obligations arising from the stocks and shares held in companies with the State Treasury shareholding and fulfilment of the founding body functions by the Minister in state-owned enterprises;

    2. supervising the efficient process of liquidation proceedings and monitoring of the progress of bankruptcy proceedings until the moment of final deleting of companies from the National Court Register;

    3. collection and updating of data related to the liquidation or bankruptcy processes with the use of the ZSI system,

    4. responding to cases of delays in liquidation or bankruptcy proceedings,

    5. undertaking liquidation actions and securing of the State Treasury interests at all stages of the liquidation proceedings in case of supervision over state-owned enterprises and companies which do not conduct business operations, or preparation of justification to maintain such entities in the State Treasury holding.

  5. The Department examines applications for replenishment of funds deficits to cover costs of the liquidation or bankruptcy process of a state-owned enterprise or a company with the State Treasury shareholding.

  6. The department prepares decisions concerning the objection in relation to motions of governing bodies of state-owned enterprises for liquidation for economic reasons, pursuant to Article 19 item 2 of the Act of 25 September 1981 on state-owned enterprises.

  7. The department secures State Treasury interests in actions aimed at reactivation of companies having operated on the territory of the Republic of Poland before 1 September 1939 and exercises State Treasury rights and obligations arising from the participation in companies which have already been reactivated.

  8. The department analyses the legal and economic situation of commercial law companies with the State Treasury shareholding which do not conduct business operations in order to develop the optimum methods of action in relation to such entities.
