Ownership transformation of state enterprises as of December 31, 2005

In the period between August 1, 1990 and the end of December 2005, privatisation processes were initiated in 5,714 state enterprises under the Act on Privatisation of State Enterprises, the Act on Commercialisation and Privatisation of State Enterprises and article 19 of the Act on State Enterprises.

 

In the register of state enterprises (REGON), as of December 31, 2005, there were 1,029 state enterprises1, including 24 enterprises for which the founding body was the Minister of the Treasury and one state bank.

 

As of the end of September 30, 2005, the Minister of the Treasury supervised 1,405 companies, including 426 sole shareholder companies of the Treasury (sole shareholder companies of the Treasury) and 979 companies in which the Treasury held shares.

 

As of December 31, 2005, 1,578 (3) state enterprises were commercialised (i.e. 27.6% of the total number of enterprises under transformation), which resulted in establishment of:

 

 

 

 

  • 1,561 (3) sole shareholder companies of the Treasury,
  • 17 companies with participation of creditors, in accordance with Section III of the Act on Commercialisation and Privatisation (commercialisation with conversion of liabilities).

 

In 2005, 16 state enterprises were commercialised, for which, in 3 cases, the founding body was the Minister of the Treasury, in the case of 2 enterprises the founding body was the Minister of National Defence, in the case of 1 enterprise the founding body was the Minister of Economy and Labour and, in the case of 10 enterprises, the founding bodies were province governors

 

In December 2005, 2 enterprises were commercialised:

 

 

 

 

  • Przedsiębiorstwo Państwowej Komunikacji Samochodowej w Koninie (road transport company, founding body: governor of the wielkopolskie province),
  • Stocznia Marynarki Wojennej w Gdyni (naval shipyard, founding body: Minister of National Defence).

 

Transformation of state enterprises into sole shareholder companies of the Treasury was conducted in 7 provinces: śląskie - 7, małopolskie - 2, mazowieckie – 3, łódzkie – 1, opolskie - 1, pomorskie – 1, wielkopolskie – 1.

 

 

Between August 1, 1990 and December 31, 2005, the Ministry of Ownership Transformation / Ministry of the Treasury and the Privatisation Agency made available shares / stakes in 1,020 (2) Treasury companies:

 

 

 

 

 

 

 

 

 

 

 

  • 6 (2)through taking up shares in the increased initial capital of sole shareholder companies of the Treasury by entities specified in article1, paragraph 2.1 of the Act on Commercialisation and Privatisation,
  • 358 – by way of indirect privatisation (sole shareholder companies of the Treasury),
  • 17 - in accordance with Section III of the Act on Commercialisation and Privatisation,
  • 127 - under the framework of BPU (banking settlement procedure) – liabilities swap,
  • 512 - by way of contribution of shares / stakes to National Investment Funds (NFI).

 

In 2005, privatisation of 11 sole shareholder companies of the Treasury (joint stock companies in which the Treasury is the sole shareholder) was initiated through the sale of the first block of shares, including in 5 companies through taking up shares in the increased initial capital and in 6 companies through indirect privatisation.

 

In 2005, privatisation continued in 93 companies with Treasury shareholding, through sale of subsequent Treasury shares. 102 sales transactions were concluded, including shares that were sold in December 2005 in the following 13 companies:

  • Lubelskie Zakłady Przemysłu Spirytusowego i Drożdżowego POLMOS S.A. w Lublinie – 3.02% of shares, investor: JABŁONNA S.A., privatisation completed,
  • Elektrociepłownia Zielona Góra S.A. w Zielonej Górze – 25% of shares, investor: Zespół Elektrociepłowni Wrocławskich KOGENERACJA S.A., privatisation completed,
  • EATON Truck Components Sp. z o.o. w Tczewie – 0.17% of shares, investor: Eaton BV Sp. z o.o. (HOLANDIA), privatisation completed,
  • Zakłady Metalurgiczne "POMET" S.A. w Poznaniu – 25.45% of shares, investor: Steel-Building Sp. z o.o., privatisation completed,
  • Krakowskie Zakłady Automatyki S.A. w Krakowie – 18.71% of shares, investor: Edward Jacek Kwarciak, Paweł Tomasz Zimny, Marek Szczur, Andrzej Noworyta, Wojciech Kościółek, privatisation completed,
  • Fabryka Maszyn Rolniczych "PILMET" S.A. we Wrocławiu – 24.86% of shares, investor: POLSKI FUNDUSZ ROLNY Sp. z o.o., privatisation completed,
  • FINNVEDEN BULTEN S.A. w Bielsku-Białej – 2.52% of shares, investor: FINNVEDEN BULTEN AB (SZWECJA), privatisation completed,
  • Przedsiębiorstwo Produkcyjno-Usługowe "LUBINPEX" Sp. z o.o. w Lubinie – 3.18% of shares, investor: Przedsiębiorstwo Handlowo-Produkcyjne MERCUS Sp. z o.o., privatisation completed,
  • ICN Polfa Rzeszów S.A. w Rzeszowie – 1.72% of shares, investor: Valeant Pharmaceutical International (USA),
  • Elektrociepłownia Białystok S.A. w Białymstoku – 4.36% of shares, investor: SOCIETE NATIONALE DELECTRICITE ET DE THERMIQUE (FRANCJA),
  • Przedsiębiorstwo Komunikacji Samochodowej Connex Brzozów Sp. z o.o. w Brzozowie – 41.78%of shares, investor: Connex Polska Sp. z o.o.

 

In 2005, blocks of shares in 8 National Investment Funds were also transferred.

 

Between August 1, 1990 and the end of December, 2005, 2,252 applications for direct privatisation were accepted, in accordance with article 37 of the Act on Privatisation of State Enterprises and article 39 of the Act on Commercialisation and Privatisation (that figure accounts for 39.4% of the total number of transformed enterprises). 2,157 state enterprises were struck from the register.

 

In 2005, 36 applications for direct privatisation were accepted, including:

 

 

 

 

 

 

  • by way of sale – 22
  • by way of contribution – 5
  • by way of giving of an enterprise to be used for consideration – 9.

 

Enterprises which were granted permission for direct privatisation in 2005 were located in 14 provinces, the majority of them in the mazowieckie province – 9, małopolskie province – 6 and łódzkie province – 4.

 

Within that period, 38 directly privatised state enterprises were struck from the register of enterprises.

 

In the period between August 1, 1990 and the December 31, 2005 no objections were raised towards 1,884 (3) applications for liquidation because of poor financial situation in accordance with art. 19 of the Act on State Enterprises. This figure accounts for 33% of the total number of transformed enterprises. 1,031 (9) enterprises were struck from the register, while in 676 bankruptcy was declared.

 

In 2005, the Minister of the Treasury did not raise objections towards 31 applications for liquidation for economic reasons

 

Enterprises in the case of which a motion for liquidation was lodged in 2005 were located in 9 provinces, the majority of them in the śląskie province – 9, mazowieckie province – 6 and małopolskie – 5.

 

Within the same period, in 41 cases liquidation was completed and in the case of 3 liquidated enterprises bankruptcy was declared.
