Ownership transformation of state enterprises as of September 30, 2005

In the period between August 1, 1990 and the end of September 2005, privatisation processes were initiated in 5,690 (358)1 state enterprises under the Act on Privatisation of State Enterprises, the Act on Commercialisation and Privatisation of State Enterprises and article 19 of the Act on State Enterprises.

 

In the register of state enterprises (REGON), as of September 30, 2005, there were 1,084 state enterprises, including 24 enterprises for which the founding body was the Minister of the Treasury and one state bank.

 

As of September 30, 2005, the Minister of the Treasury supervised 1,450 companies, including 439 Treasury corporations (sole shareholder companies of the Treasury) and 1,011 companies in which the Treasury held shares.

 

As of September 30, 2005, 1,575 (65) state enterprises were commercialised (i.e. 27.7% of the total number of enterprises under transformation), which resulted in establishment of:

 

 

 

 

  • 1,558 (64) sole shareholder companies of the Treasury,
  • 17 (1) companies with participation of creditors, in accordance with Section III of the Act on Commercialisation and Privatisation (commercialisation with conversion of liabilities).

 

In the period January - September 2005, 13 state enterprises were commercialised, for which, in 3 cases, the founding body was the Minister of the Treasury, in the case of 1 enterprise the founding body was the Minister of National Defence*, in the case of 1 enterprise the founding body was the Minister of Economy and Labour* and, in the case of 8 enterprises, the founding bodies were province governors

 

Between August 1, 1990 and September 30, 2005, the Ministry of Ownership Transformation / Ministry of the Treasury and the Privatisation Agency made available shares / stakes in 1,014 (50) Treasury companies:

 

 

 

 

 

 

 

 

  • 358 (49) – by way of indirect privatisation (Treasury corporations),
  • 17 (1) - in accordance with Section III of the Act on Commercialisation and Privatisation,
  • 127 - under the framework of BPU (banking settlement procedure) – liabilities swap,
  • 512 - by way of contribution of shares / stakes to National Investment Funds (NFI).

 

Within the period of January – May 2005, privatisation of 6 Treasury corporations (joint stock companies in which the Treasury is the sole shareholder) was initiated through the sale of the first block of shares, including initiation of privatisation in 2 companies in September 2005:

 

 

 

 

 

  • Podhalańskie Przedsiębiorstwo Drogowo-Mostowe SA w Nowym Targu – 85% of shares, investor: Podhalańskie Drogi Sp. z o.o.,
  • Zakłady Chemiczne POLICE S.A. w Policach – 1 share, public offer.

 

 

Within the period of January – September 2005, privatisation continued in 63 companies with Treasury shareholding, through sale of subsequent Treasury shares. 70 sales transactions were concluded, including shares that were sold in September 2005 in the following 14 companies3:

 

 

  • POLMOS Łańcut S.A. w Łańcucie – 1 share, investor: Sobieski Dystrybucja Sp. z o.o.4,
  • "ELZAM-HOLDING" S.A. w Elblągu – 10.30% shares, investor: "ELZAM-HOLDING" S.A,
  • CEFARM Zielona Góra S.A. w Zielonej Górze – 19.6% shares, investor: ORFE S.A.,
  • Wydawnictwo Naukowe PWN S.A. w Warszawie – 1.51% shares, investor: Luxemburg Cambridge Holding Group S.A., privatisation completed,
  • LEGRAND POLSKA Sp. z o.o. w Ząbkowicach Śląskich – 7.23% shares, investor: DESMAG S.A.(LUXEMBURG), privatisation completed,
  • Hucie Szkła Gospodarczego ROZALIA Sp. z o.o. w Radomsku – 2.05% shares, investor: Barbara Stachlińska, privatisation completed,
  • Zakładach Przemysłu Gipsowego Dolina Nidy S.A. w Leszczach with its seat in Pińczów – 3.81% shares, investor: Atlas Gips Sp. z o.o. and Lafarge Gips Polska Sp. z o.o., privatisation completed,
  • Mostostal Wrocław S.A. we Wrocławiu – 17.04% shares, investor: FAM-TECHNIKA ODLEWNICZA S.A., privatisation completed,
  • Zakłady Gumowe BYTOM S.A. w Bytomiu – 25.22% shares, investor: Zakłady Metalowe Polmetal Sp. z o.o., privatisation completed,
  • Enterprise "BUDKUS" S.A. w Trzeciewcu – 5.0% shares, investor: Renata Komosa, privatisation completed,
  • Blachownia Holding S.A. w Kędzierzynie-Koźlu – 25.04% shares, investor: Flavian Consulting Sp. z o.o., privatisation completed,
  • Zakłady Wyrobów Metalowych SHL S.A. w Kielcach –7.98% shares, investor: DELFO S.A., privatisation completed,
  • Przedsiębiorstwo Robót Drogowych Sp. z o.o. w Płocku – 0.59% shares, investor: Przedsiębiorstwo Robót Drogowo-Budowlanych S.A. w Gostyninie, privatisation completed,
  • GLIMAG S.A. w Gliwicach – 7.28% shares, investor: Jacek Okrutny, privatisation completed.

 

Between August 1, 1990 and the end of September 30, 2005, 2,236 (158) applications for direct privatisation were accepted, in accordance with article 37 of the Act on Privatisation of State Enterprises and article 39 of the Act on Commercialisation and Privatisation (that figure accounts for 39.3% of the total number of transformed enterprises). 2,148 (217) state enterprises were struck from the register.

 

Within the period of January – September 2005, 20 applications for direct privatisation were accepted. Within that period 29 directly privatised state enterprises were struck from the register of enterprises.

 

In the period between August 1, 1990 and the end of September 2005 no objections were raised towards 1,879 (135) applications for liquidation because of poor financial situation in accordance with art. 19 of the Act on State Enterprises. This figure accounts for 33% of the total number of transformed enterprises. 1,017 (171) enterprises were struck from the register, while in 675 (51) bankruptcy was declared.

 

Within the period of January – September 2005, the Minister of the Treasury did not raise objections towards 26 applications for liquidation for economic reasons, whereas in 27 cases liquidation for economic reasons was completed and in the case of 2 liquidated enterprises bankruptcy was declared.
