Ownership transformation of state enterprises

In the period between August 1, 1990 and the end of May 2005, privatisation processes were initiated in 5,664 (332)* state enterprises under the Act on Privatisation of State Enterprises, the Act on Commercialisation and Privatisation of State Enterprises and article 19 of the Act on State Enterprises.

In the register of state enterprises (REGON), as of March 31, 2005, there were 1,214 state enterprises **.


As of March 31, 2005, the Minister of the Treasury was the founding body for 27 enterprises and one a state bank, and he supervised 1,545 companies, including 452 Treasury corporations (sole shareholder companies of the Treasury) and 1,063 companies in which the Treasury held shares or stakes.

As of May 31, 2005, 1,573 (63) state enterprises were commercialised (i.e. 27.8% of the total number of enterprises under transformation), which resulted in establishment of:

  • 1,556 (62) sole shareholder companies of the Treasury,
  • 17 (1) companies with participation of creditors, in accordance with Section III of the Act on Commercialisation and Privatisation (commercialisation with conversion of liabilities).


In the period January - May 2005, 11 state enterprises were commercialised, for which, in 7 cases the founding bodies were province governors, in the case of 2 enterprises, the founding body was the Minister of the Treasury, and in the case of another 2 enterprises, the founding body was the Minister of National Defence.


In May 2005, 3 state enterprises were commercialised:

  • Wojskowe Zakłady Mechaniczne in Siemianowice Śląskie (founding body - the Minister of National Defence),
  • Przedsiębiorstwo Państwowej Komunikacji Samochodowej in Myszków (founding body - Governor of the śląskie province),
  • Przedsiębiorstwo Państwowej Komunikacji Samochodowej in Głubczyce (founding body - Governor of the opolskie province)

Between August 1, 1990 and May 31, 2005, the Ministry of Ownership Transformation / Ministry of the Treasury and the Privatisation Agency made available shares / stakes in 1,010 (46) Treasury companies:

  • 354 (45) – by way of indirect privatisation (Treasury corporations),
  • 17 (1) - in accordance with Section III of the Act on Commercialisation and Privatisation,
  • 127 - under the framework of BPU (banking settlement procedure) – liabilities swap,
  • 512 - by way of contribution of shares / stakes to National Investment Funds (NIF).

In May 2005 the privatisation process was initiated through the sale by way of a public offer of32,14% of shares in Przedsiębiorstwo POLMOS BIAŁYSTOK S.A. in Białystok.


Within the period of January – May 2005, privatisation was continued in 28 companies with Treasury shareholding, through sale of subsequent Treasury shares / stakes. In May 2005, shares were sold in the following 4 companies:

 

 

 

 

 

 

  • PREMET S.A. in Pieszyce – 2,14% of shares, investor: Fundacja “Fundusz Regionu Wałbrzyskiego”, privatisation completed,
  • Huta Szkła “UJŚCIE” S.A. in Ujście – 13,21% of shares, investor: Heye Holding GmbH (Germany), privatisation completed,
  • TOFAMA S.A. in Toruń – 22,95 of shares, investor: employees, privatisation completed,
  • Lubuskie Zakłady Drobiarskie “ELDROB” S.A. in Świebodzin – 3,48% of shares: investor Olsztyńskie Zakłady Drobiarskie “INDYKPOL”, privatisation completed.

 

In May 2005 took place the disposal of 2,07% of shares in NARODOWY FUNDUSZ INWESTYCYJNY FORTUNA S.A.

 

In May 2005, conditional agreement was concluded to sell 70% of shares in Zakłady Przemysłu Tłuszczowego S.A. in Warsaw.

 

Between August 1, 1990 and the end of May 2005, 2,228 (150) applications for direct privatisation were accepted, in accordance with article 37 of the Act on Privatisation of State Enterprises and article 39 of the Act on Commercialisation and Privatisation (that figure accounts for 39.3% of the total number of privatised enterprises). 2,134 (203) state enterprises were struck from the register.

 

Within the period of January – May 2005, 12 applications for direct privatisation were accepted. Within that period 15 directly privatised state enterprises were struck from the register of enterprises.

In the period between August 1, 1990 and the end of May 2005 no objections were raised towards 1,863 (119) applications for liquidation because of poor financial situation in accordance with art. 19 of the Act on State Enterprises. This figure accounts for 32.9% of the total number of privatised enterprises. 1005 (159) enterprises were struck from the register, while in 674 (50) bankruptcy was declared.


Within the period of January – May 2005, the Minister of the Treasury did not raise objections towards 10 applications for liquidation for economic reasons.

Within that period in 15 cases liquidation was completed by removal from the register and in 1 liquidated enterprise bankruptcy was declared.
