Ownership transformation of state enterprises as of December 31, 2009

8453 – number of state owned enterprises as at 31 December 1990.

5960 – number of state owned enterprises privatized between 1 August 1990 and 31 December 2009.

174 – number of state-owned enterprises as at 31 December 2009.

I. Privatisation process between 1 August 1990 and 31 December 2009

  • Between 1 August 1990 and 31 December 2009 a total of 1733 state-owned enterprises were commercialised (29.1% of all privatised entities), of which:

- 1716 entities were transformed into Sole Shareholder Companies of the Treasury, and

- 17 entities were transformed into companies with creditors’ participation pursuant to Chapter III the Commercialisation and Privatisation Act (commercialisation with conversion of debt).

  • Shares in 1081 Sole Shareholder Companies of the Treasury created through privatisation were made available through:

- contribution of shares to the National Investment Funds – 512 companies,

- indirect privatisation – 399 companies,

- exchange of debt for shares through bank settlement procedure (BPU) – 127 companies,

- gratuitous transfer of shares to local government units – 16 companies,

- acquisition of shares in the increased capital of a Single Shareholder Company of the Treasury by entities other than the Treasury – 9 companies,

- other methods – 18 companies.

  • A total of 2304 direct privatisation requests were accepted (38.6% of all privatised enterprises);
  • Another 2215 state owned enterprises were struck off the Register of Entrepreneurs;
  • The Minister of Treasury approved 1923 requests for liquidation due to poor financial condition pursuant to Article 19 of the Act on State Enterprises (i.e. 32.3% of all entities covered by privatisation programme);
  • 1125 state owned enterprises were removed from the Register of Entrepreneurs after completing the liquidation process.

II. Privatisation activities between January and December 2009

  • Commercialisation covered 36 state owned enterprises and 1 research and development unit.
  • Stakes were sold in 20 Sole Shareholder Companies of the Treasury created through privatization, including the December sale of stakes in 5 companies:

- Ośrodek Badań i Kontroli Środowiska Spółka z o.o. w Katowicach (environmental control and research centre) – 85% of shares; investor: Energy Management and Conservation Agency,

- Wojewódzkie Przedsiębiorstwo Energetyki Cieplnej w Legnicy S.A. (heat supply company] – 85% of shares; investor: Energetyka Sp. z o.o.,

- Przedsiębiorstwo Robót Komunikacyjnych w Krakowie S.A. (Rail and Road Works Enterprises), 85% of shares; Investor: Zakłady Usług Energetycznych i Komunikacyjnych grupa ZUE S.A. [Energetics and Communication Service Establishments],

- CIEPŁOWNIA ŁAŃCUT Sp. z o.o. w Łańcucie (heat plant) – 100% of shares, gratuitous transfer to the City of Łańcut; privatisation completed,

- Transbud Sp. z o.o. w Toruniu (transport and equipment company) - 100% of shares, gratuitous transfer to the City/Commune of Toruń, privatisation completed;

  • Privatisation continued in 89 companies with Treasury shareholding, consisting of the sale of further Treasury stakes, including stakes of 17 companies listed below.

- CERSANIT S.A. – 1.95% of shares, sale of shares on a regulated market (privatisation completed),

- Zakłady Przemysłu Pasmanteryjnego LENORA Sp. z o.o. (manufacturer of haberdashery) – 51.02% of shares, investor: Era-Ivex Co. LTD Sp. z o.o.,

- WIEK S.A. (residential development company) – 0.06% of shares, investor: EXIM Sp. z o.o. (privatisation completed),

- Lubelski Węgiel "Bogdanka" S.A. (mining company) – 4.97% of shares, sale of shares on a regulated market,

- Elektrociepłownie Wybrzeże S.A. (combined heat and power plants) – 1 share, investor: EDF International (France) (privatisation completed),

- HUTMEN S.A. (producer of non-ferrous metals) – 0.11% of shares, sale of shares on a regulated market,

- Fabryka Obrabiarek RAFAMET S.A. (machine tool manufacturer) – 0.05% of shares, sale of shares on a regulated market,

- Polimex – Mostostal S.A. (engineering and construction company) – 0.28% of shares, sale of shares on a regulated market, privatisation completed,

- POLMOZBYT KRAKÓW S.A. (automotive parts and vehicle inspection services) – 11.98% of shares, investor: Przedsiębiorstwo Handlowo-Usługowe Polmozbyt Toruń Holding S.A. (privatisation completed),

- Agencja Poszanowania Energii i Usług Energetyczno-Górniczych "ENMAG - EG" Sp. z o.o. (thermal power engineering) – 17.23% of shares, investor: TRANSBED Sp. z o.o. (privatisation completed),

- SKINPOLEX Sp. z o.o. (pelt seller) – 9.53% of shares, investor: Rajmund Gąsiorek, (privatisation completed),

- KOPEX S.A. (underground and open-pit mining) – 2.92% of shares, sale of shares on a regulated market (privatisation completed),

- Przedsiębiorstwo Komunikacji Samochodowej w Nowym Sączu S.A. (passenger transport company) – 2.08% of shares, gratuitous transfer to the Marshal of Małopolskie Province (privatisation completed),

- Przedsiębiorstwo Komunikacji Samochodowej w Krakowie S.A. (passenger transport company) – 0.89% of shares, gratuitous transfer to the Marshal of Małopolskie Province (privatisation completed),

- Przedsiębiorstwo Komunikacji Samochodowej w Wadowicach S.A. (passenger transport company) – 2.71% of shares, gratuitous transfer to the Marshal of Małopolskie Province (privatisation completed),

- Gorzowski Rynek Hurtowy S.A. (wholesale company) – 0.33% of shares, gratuitous transfer to the City of Gorzów Wielkopolski (privatisation completed),

- Regionalny Park Przemysłowy "ŚWIDNIK" Sp. z o.o. (regional industrial park) – 1.78% of shares, shares, gratuitous transfer to Świdnica County (privatisation completed);

  • 7 requests for direct privatisation were accepted between January and December 2009.
  • 5 privatized enterprises were directly struck off the Register of Entrepreneurs.
  • Approval was granted to 8 requests for liquidation due to economic reasons.
  • 19 state-owned enterprises were struck off the Register of Entrepreneurs following liquidation procedure.

III. Entities under the oversight of the Minister of Treasury.

  • The Minister of Treasury exercised voting rights in 1090 companies, including:

- 457 Sole Shareholder Companies of the Treasury;

- 633 companies with Treasury shareholding, including:

- 76 companies with Treasury shareholding from 50.1% to 99.9%,

- 186 companies with Treasury shareholding from 25.1% to 50.0%,

- 142 companies with Treasury shareholding from 10.1% to 25.0%,

- 229 companies with Treasury shareholding lower than 10.1%.

The Minister of Treasury was a founding body for 14 state-owned enterprises and 1 national bank.
