Ownership transformation of state enterprises as of December 31, 2008

Between 1 August 1990 and 31 December 2008, privatisation activities were conducted in 5909 state owned enterprises pursuant to the Act on Privatisation of State-Owned Enterprises, the Act on Commercialisation and Privatisation and Article 19 of the Act on State Enterprises.

As at 31 December 2008, the Minister of Treasury acted as a founding body for 15 state owned enterprises and one state bank. The Minister exercised voting rights in 1181 companies, including 465 Sole Shareholder Companies of the Treasury and 716 companies with Treasury shareholding.

As at 31 December 2008, 1697 state-owned enterprises were commercialised (i.e. 28.7% of total number of companies earmarked for privatisation), and transformed into:

  • Sole Shareholder Companies of the Treasury (1680 entities), and
  • companies with creditors’ participation (17) pursuant to Chapter III the Commercialisation and Privatisation Act (commercialisation with conversion of debt).

In 2008, commercialisation was completed in 78 state owned enterprises and 10 research and development units (privatisation of Fabryka Wentylatorów "OWENT" w Olkuszu (fan manufacturer founded by Małopolskie Province Governor) was finalised in December.

The state owned enterprises and R&D units commercialised in 2008 were originally founded by:

  • Minister of Treasury – 2 enterprises,
  • Minister of National Defence – 15 enterprises,
  • Minister of Economy – 10 research-developing units,
  • Dolnośląskie Province Governor – 2 enterprises,
  • Kujawsko-Pomorskie Province Governor – 4 enterprises,
  • Lubelskie Province Governor – 6 enterprises,
  • Łódzkie Province Governor – 7 enterprises,
  • Małopolskie Province Governor – 4 enterprises,
  • Mazowieckie Province Governor – 7 enterprises,
  • Podkarpackie Province Governor – 1 enterprise,
  • Podlaskie Province Governor – 7 enterprises,
  • Pomorskie Province Governor – 2 enterprises,
  • Śląskie Province Governor – 8 enterprises,
  • Warmińsko-Mazurskie Province Governor – 3 enterprises
  • Wielkopolskie Province Governor – 5 enterprises,
  • Zachodniopomorskie Province Governor – 5 enterprises,

Transformations of state-owned enterprises into Sole Shareholder Companies of the Treasury took place in 13 provinces: Podkarpackie – 1 enterprise; Pomorskie and Warmińsko-Mazurskie – 3 enterprises in each province; Dolnośląskie and Małopolskie – 4 enterprises in each province; Zachodniopomorskie – 5 enterprises; Kujawsko-Pomorskie, Lubelskie and Wielkopolskie – 6 enterprises in each province; Podlaskie – 7 enterprises; Śląskie – 8 enterprises; Łódzkie – 9 enterprises; Mazowieckie – 16 enterprises.

Transformations of research and development units into Sole Shareholder Companies of the Treasury took place in 7 provinces: Dolnośląskie, Małopolskie, Pomorskie, Śląskie, Świętokrzyskie and Wielkopolskie – 1 enterprise in each province; Mazowieckie – 4 enterprises.

Between 1 August 1990 and 31 December 2008 shares were offered for sale in 1061 companies with Treasury shareholding, including through:

  • acquisition of shares in the increased capital of a Single Shareholder Company of the Treasury by entities specified in Article 1(2)(1) of the Commercialisation and Privatisation Act – 7 companies,
  • gratuitous transfer of shares to local government units (specified in Article 4a (2)(1) of the Commercialisation and Privatisation Act) – 10 enterprises,
  • indirect privatisation – 387 companies,
  • contribution of shares to National Investment Funds – 512 companies,
  • other methods – 145.

Privatisation involving the sale of initial stakes in 10 Shareholder Companies of the Treasury created through commercialisation was launched in 2008 (gratuitous transfer of 85% shares of Przedsiębiorstwo Komunikacji Samochodowej w Bielsku Białej S.A. (public transport company) to Bielsko County took place in December 2008).

Privatisation continued in 2008 with the sale of further stakes in 94 companies with Treasury shareholding. In December 2008 the Ministry disposed of its stakes in 13 companies:

  • Lubelskie Fabryki Wag FAWAG S.A. w Lublinie (scales manufacturer) – 3.33% of shares, investor: Piotr Mielewczyk (privatisation completed),
  • Toruńskie Zakłady Urządzeń Młyńskich SPOMASZ S.A. w Toruniu (mill equipment manufacturer) – 2.66% of shares, investor: Henryk Halbedel (privatisation completed),
  • Przedsiębiorstwo Przemysłowo-Handlowe Inter-Stomil Sp. z o.o. w Łodzi – 0.04% of shares, investor: Mieczysław Siejko, (privatisation completed),
  • CEFARM Zielona Góra S.A. w Zielonej Górze (retail trade in pharmaceuticals) – 0.08% of shares, investor: ACP PHARMA S.A., (privatisation completed),
  • Widzewskie Zakłady Przemysłu Bawełnianego "WI-MA" S.A. w Łodzi (cotton industry) – 13.79% of shares, investor: "Grupa Zamateks Spółka z ograniczoną odpowiedzialnością" Limited joint-stock company, (privatisation completed),
  • Elektrociepłownia Białystok S.A. w Białymstoku (combined heat and power plant) – 30.36% of shares, investor: ENEA S.A., (privatisation completed),
  • FORM-PLAST Sp. z o.o. w Bydgoszczy (injection moulded parts for automotive and electronics industries) – 8.13% of shares, investor: Maciej Pietraszek, (privatisation completed),
  • Cefarm-Wrocław Centrum Zaopatrzenia Farmaceutycznego S.A. we Wrocławiu (pharmaceutical supply centre) – 36,31% of shares, investor: FARMACOL S.A.,
  • Przedsiębiorstwo Energetyki Cieplnej w Śremie S.A. (heat supplier) – 41.65% of shares, investor: ENEA S.A.,
  • Krotoszyńskie Przedsiębiorstwo Ceramiki Budowlanej CERABUD S.A. w Krotoszynie (construction ceramics ) – 15.75% of shares, investor: Jacobi Ton - un Ziegelebeteiligungs KG (Germany),
  • PGE Elektrownia Turów S.A. w Bogatyni (power plant) – 16% of shares, investor: PGE Polska Grupa Energetyczna S.A.,
  • PGE Elektrownia Bełchatów S.A. w Rogowcu (power plant) – 19.1% of shares, investor: PGE Polska Grupa Energetyczna S.A.,
  • PGE Kopalnia Węgla Brunatnego Bełchatów S.A. w Rogowcu (hard coal mine) – 16% of shares, investor: PGE Polska Grupa Energetyczna S.A.

Between 1 August 1990 and 31 December 2008, a total of 2297 direct privatisation requests were accepted pursuant to Article 37 of the Act on Privatisation of State-Owned Enterprises and Article 39 of the Act on Commercialisation and Privatisation (i.e. 38.9% of the total number of companies earmarked for privatisation). 2210 state-owned enterprises were struck off the Register of Entrepreneurs.

Between January-December 2008 the number of approved direct privatisation requests was 14, with another 16 enterprises struck off the Register of Entrepreneurs.

Between 1 August 1990 and 31 December 2008, 1915 requests for liquidation due to poor financial condition were approved pursuant to Article 19 of the Act on State Enterprises (i.e. 32.4% of all entities covered by privatisation programme). A total of 1106 enterprises were struck off the Register and 682 entities were declared bankrupt.

Between January and December 2008 the Minister of Treasury approved 8 liquidation requests due to economic reasons. During that period, 29 enterprises were removed from the Register of Entrepreneurs and 1 was declared bankrupt.
