Ownership transformation of state enterprises as of December 31, 2007

Between 1 August 1990 and 31 December 2007, privatisation activities were conducted in 5809 state owned enterprises pursuant to the Act on Privatisation of State-Owned Enterprises, the Act on Commercialisation and Privatisation and Article 19 of the Act on State Enterprises.

As at 31 December 2007, the Minister of Treasury acted as a founding body for 18 state owned enterprises and one state bank. The Minister exercised voting rights in 1230 companies, including 418 Sole Shareholder Companies of the Treasury and 812 companies with Treasury shareholding.

As at 31 December 2007, 1619 state-owned enterprises were commercialised (i.e. 27.9% of total number of companies earmarked for privatisation), and transformed into:

  • Sole Shareholder Companies of the Treasury (1602 entities), and
  • companies with creditors’ participation (17) pursuant to Chapter III the Commercialisation and Privatisation Act (commercialisation with conversion of debt).

In 2007, commercialisation was completed in 32 state owned enterprises, 6 research and development units, including 6 state owned enterprises and 1 research and development unit which were commercialised in December:

  • Przedsiębiorstwo Państwowej Komunikacji Samochodowej w Rybniku (public transport provider). Founding body – Śląskie Province Governor,
  • Zakłady Wytwórczo-Usługowe "PRUMEL" w Pruszkowie (service and production company). Founding body – Mazowieckie Province Governor,
  • Centrala Techniczno Handlowa Podzespołów Elektronicznych "UNITRA-UNIZET" w Warszawie (electronic component distributor). Founding body – Mazowieckie Province Governor,
  • Przedsiębiorstwo Państwowe "ŻEGLUGA SZCZECIŃSKA" w Szczecinie (sale and rental of floating jetties and canoes). Founding body – Zachodniopomorskie Province Governor,
  • Przedsiębiorstwo Budowy Maszyn Drogowych "MADRO" w Białymstoku (road machinery manufacturer). Founding body – Podlaskie Province Governor,
  • Zakład Narodowy im. Ossolińskich – Wydawnictwo we Wrocławiu (National Ossoliński Institute – Publishing House in Wrocław). Founding body – Chairman of the Polish Academy of Sciences),
  • Instytut Turystyki w Warszawie (tourism enterprise). Founding body – Minister of Economy.

The founding bodies for state owned enterprises and R&D units commercialised in 2007 include:

Chairman of the Polish Academy of Sciences – 1 enterprise,

Lubelskie Province Governor – 1 enterprise,

Łódzkie Province Governor – 1 enterprise,

Małopolskie Province Governor – 1 enterprise,

Opolskie Province Governor – 1 enterprise,

Podlaskie Province Governor – 1 enterprise,

Pomorskie Province Governor – 3 enterprises,

Śląskie Province Governor – 11 enterprises,

Wielkopolskie Province Governor – 2 enterprises,

Zachodniopomorskie Province Governor – 1 enterprise,

Minister of Science and Higher Education – 1 research and development unit,

Minister of Economy – 5 research and development units.

Transformation of state-owned enterprises into Sole Shareholder Companies of the Treasury took place in 12 provinces: Śląskie – 11; Mazowieckie – 7; Pomorskie – 3; Małopolskie ¬– 2; Wielkopolskie – 2; Dolnośląskie – 1; Lubelskie – 1; Łódzkie – 1; Opolskie – 1; Podkarpackie – 1; Podlaskie – 1; Zachodniopomorskie – 1.

Transformation of research and development units into Sole Shareholder Companies of the Treasury took place in 4 provinces: Mazowieckie – 3, Dolnośląskie – 1; Łódzkie – 1; Pomorskie – 1.

Between 1 August 1990 and 31 December 2007 shares were offered for sale in 1051 companies with Treasury shareholdings through:

  • acquisition of shares in the increased capital of a Single Shareholder Company of the Treasury by entities specified in Article 1(2)(1) of the Commercialisation and Privatisation Act –7 companies,
  • gratuitous transfer of shares to local government units (specified in Article 4a (2)(1) of the Commercialisation and Privatisation Act) – 4 enterprises,
  • indirect privatisation (Single Shareholder Companies of the Treasury) – 384 companies,
  • contribution of shares to the National Investment Funds – 512 companies,
  • other methods – 144.

In 2007, privatisation process was initiated in 25 Sole Shareholder Companies of the Treasury created through commercialisation. Privatisation methods included: sale of shares (4 Sole Shareholder Companies of the Treasury), contribution of Treasury stakes to other companies in return for acquisition of shares in the increased capital (16 companies); gratuitous transfer of shares to local government units pursuant to Article 4a (2)(1) of the Commercialisation and Privatisation Act (4 companies), and acquisition of shares in the increased capital by open subscription pursuant to Article 1(2)(1) of the Commercialisation and Privatisation Act (1 company).

Indirect privatisation continued in 2007 with the sale of further stakes in 79 companies with Treasury shareholding. With the consent of the Council of Ministers, stakes in 2 of those companies were contributed to other entities in return for acquisition of their shares in the increased capital.

In December 2007 the Ministry disposed of its shares in 8 companies:

  • Towarzystwo Ubezpieczeń na Życie "WARTA" S.A w Warszawie (insurance company) – 0.52% of shares; investor: Towarzystwo Ubezpieczeń i Reasekuracji WARTA S.A. (insurance and reinsurance company); privatisation completed,
  • Fabryka Wódek POLMOS ŁAŃCUT S.A. w Łańcucie (liquor company) – 0.14% of shares; investor: Sobieski Sp. z o.o.; privatisation completed,
  • Fabryka Elektrofiltrów ELWO S.A. w Pszczynie (electrostatic air cleaner producer) – 5.05% of shares; investor: Fabryka Kotłów RAFAKO S.A. (boiler manufacturer); privatisation completed,
  • Kieleckie Kopalnie Kwarcytu w Wiśniówce S.A. we Wrocławiu (quartzite mines) – 0.37% of shares, investor: Wrocławskie Kopalnie Surowców Mineralnych S.A. (mineral mines); privatisation completed,
  • Poznańska Korporacja Budowlana "PEKABEX" S.A. w upadłości w Poznaniu – 0.65% of shares; investor: Sovereign Recovery sp. z o.o.; privatisation completed,
  • STOEN S.A. w Warszawie – 0.48% of shares, investor: RWE Energy AG (Germany); privatisation completed,
  • Bombardier Transportation Polska Sp. z o.o. we Wrocławiu (arms manufacturer) – 0.35% of shares; investor: Bombardier Transportation (Management) Germany GmbH (Germany), privatisation completed,
  • Dom Książki S.A. w Warszawie (book shop) – 7.30% of shares; investor: M.S. Investment Group S.A.

In addition, stakes in 3 National Investment Funds – JUPITER NFI S.A., NFI FOKSAL S.A., and NFI “Fortuna” S.A. – were sold in 2007.

Between 1 August 1990 and 31 December 2007, a total of 2283 direct privatisation requests were accepted pursuant to Article 37 of the Act on Privatisation of State-Owned Enterprises and Article 39 of the Act on Commercialisation and Privatisation (i.e. 39.3% of the privatised entities). A total of 2194 state-owned enterprises were struck off the Register of Entrepreneurs.

Another 20 direct privatisation requests were approved in 2007, including:

  • 12 requests for privatisation through sale of shares,
  • 2 requests for privatisation through share capital increase, and
  • 6 requests for privatisation through leasing.

Enterprises approved for direct privatisation in 2007 were located across 12 provinces: Łódzkie – 4, Lubuskie and Mazowieckie – 3 enterprises in each province, Śląskie – 2, Dolnośląskie, Lubelskie, Małopolskie, Podlaskie, Pomorskie, Świętokrzyskie, Warmińsko-Mazurskie and Wielkopolskie – 1 enterprise in each province.

In that period, 13 state-owned enterprises privatised by direct method were removed from the Register of Entrepreneurs.

Between 1 August 1990 and 31 December 2007, 1907 requests for liquidation due to poor financial condition were approved pursuant to Article 19 of the Act on State Enterprises (i.e. 32.8% of all entities covered by privatisation programme). A total of 1077 enterprises were struck off the Register and 682 entities were declared bankrupt.

Between January and December 2007 the Minister of Treasury approved 10 requests for liquidation due to economic reasons.

Enterprises which filed for liquidation in 2007 were located in 4 provinces, mostly in the province of Śląskie (6) and Lubuskie (2).

In that period, 21 enterprises were removed from the Register of Entrepreneurs and 1 was declared bankrupt.
