Ownership transformation of state enterprises
as of April 30, 2005

 

In the period between August 1, 1990 and the end of April 2005, privatisation processes were initiated in 5,655 (323)* state enterprises under the Act on Privatisation of State Enterprises, the Act on Commercialisation and Privatisation of State Enterprises and article 19 of the Act on State Enterprises.

In the register of state enterprises (REGON), as of March 31, 2005, there were 1,214 state enterprises **.


As of March 31, 2005, the Minister of the Treasury was the founding body for 27 enterprises and one a state bank, and he supervised 1,545 companies, including 452 Treasury corporations (sole shareholder companies of the Treasury) and 1,063 companies in which the Treasury held shares or stakes.

As of April 30, 2005, 1,570 (60) state enterprises were commercialised (i.e. 27.8% of the total number of enterprises under transformation), which resulted in establishment of:

  • 1,553 (59) sole shareholder companies of the Treasury,
  • 17 (1) companies with participation of creditors, in accordance with Section III of the Act on Commercialisation and Privatisation (commercialisation with conversion of liabilities).


In the period January - April 2005, 8 state enterprises were commercialised, for which, in 5 cases, the founding bodies were province governors and, in the case of 2 enterprises, the founding body was the Minister of the Treasury, in the case of 1 enterprise, the founding body was the Minister of National Defence.


Between August 1, 1990 and April 30, 2005, the Ministry of Ownership Transformation / Ministry of the Treasury and the Privatisation Agency made available shares / stakes in 1,009 (45) Treasury companies:

  • 353 (44) – by way of indirect privatisation (Treasury corporations),
  • 17 (1) - in accordance with Section III of the Act on Commercialisation and Privatisation,
  • 127 - under the framework of BPU (banking settlement procedure) – liabilities swap,
  • 512 - by way of contribution of shares / stakes to National Investment Funds (NIF).


Within the period of January – April 2005, privatisation continued in 24 companies with Treasury shareholding, through sale of subsequent Treasury shares / stakes. In April 2005, shares / stakes were sold in the following 13 companies:

  • Przedsiębiorstwie Robót Drogowych Sp. z o.o. w Mielcu – 20.64% of stakes, investor: Przedsiębiorstwo Budowy Dróg i Mostów SA w Tarnowie,
  • ENERGOMONTAŻ – PÓŁNOC S.A. w Warszawie – 0.69% of shares, inwestor collective entity,
  • Centrali Farmaceutycznej CEFARM S.A. w Warszawie – 1.27% of shares, investor: FARMACOL S.A., privatisation completed,
  • PUDLISZKI S.A. w Pudliszkach – 0.25 of shares, investor: HJ Heinz Holding BV (HOLANDIA), privatisation completed,

  • INTUR Konstrukcje - Fasady - Spedycja Sp. z. o.o. w Inowrocławiu – 0.09% of stakes, investor: Jan Mazur, privatisation completed,
  • SCANCLIMBER Sp. z o.o. w Gnieźnie – 5.88% of stakes, investor: SCANINIER AG (SZWAJCARIA), privatisation completed,
  • Rexam Szkło Gostyń S.A. w Gostyniu – 0.0004% of shares, investor: Rexam AB Malmo (SZWECJA), privatisation completed,
  • PAGED – Rzeszowskie Fabryki Mebli S.A. w Sędziszowie Małopolskim – 5.07% of shares, investor: PAGED Fabryki Mebli Sp. z o.o., privatisation completed,
  • Zakładach Mebli Giętych "FAMEG" S.A. w Radomsku – 15.63 of shares, investor: Związek Zawodowy Inżynierów i Techników w Zakładach Mebli Giętych "Fameg" S.A., Niezależny Samorządny Związek Zawodowy pracowników Zakładów Mebli Giętych "Fameg" S.A., Zakładowa Organizacja Związkowa NSZZ "Solidarność" działająca przy Zakładach Mebli Giętych, privatisation completed,
  • MERA-PNEFAL S.A. w Warszawie – 24.87% of shares, investor: MERA-PNEFAL S.A., privatisation completed,
  • IZOLACJA-JAROCIN S.A. w Jarocinie – 25.05% of shares, investor: Przedsiębiorstwo Materiałów Izolacyjnych "IZOLACJA-MATIZOL S.A., privatisation completed.

 

In April 2005 shares were sold in the following 2 National Investment Funds (NIF):

 

 

 

 

  • FOKSAL NARODOWY FUNDUSZ INWESTYCYJNY S.A. – 3.73% of shares,
  • NARODOWY FUNDUSZ INWESTYCYJNY PROGRESS S.A. – 2.49% of shares,.

 

Between August 1, 1990 and the end of April 2005, 2,225 (147) applications for direct privatisation were accepted, in accordance with article 37 of the Act on Privatisation of State Enterprises and article 39 of the Act on Commercialisation and Privatisation (that figure accounts for 39.3% of the total number of privatised enterprises). 2,129 (198) state enterprises were struck from the register.

 

Within the period of January – April 2005, 9 applications for direct privatisation were accepted; Within that period 10 directly privatised state enterprises were struck from the register of enterprises.

In the period between August 1, 1990 and the end of April 2005 no objections were raised towards 1,860 (116) applications for liquidation because of poor financial situation in accordance with art. 19 of the Act on State Enterprises. This figure accounts for 32.9% of the total number of privatised enterprises. 1004 (158) enterprises were struck from the register, while in 673 (49) bankruptcy was declared.

Within the period of January – April 2005, the Minister of the Treasury did not raise objections towards 7 applications for liquidation for economic reasons.

Within that period in 14 cases liquidation was completed by removal from the register.
