Ownership transformation of state enterprises as of December 31, 2004

 

In the period between August 1, 1990 and the end of December 2004, privatization processes were initiated in 5,631 (299)* state enterprises under the Act on Privatization of State Enterprises, the Act on Commercialization and Privatization and article 19 of the Act on State Enterprises.

In the register of state enterprises (REGON), as of December 31, 2004, there were 1,306 state enterprises **.

 


As of December 31, 2004, the Minister of the Treasury was the founding body for 31 enterprises and one a state bank and he supervised 1,545 companies, including 464 Treasury corporations (sole shareholder companies of the Treasury) and 1,081 companies in which the Treasury held shares or stakes.

 

As of December 31, 2004, 1,562 (52) state enterprises were commercialized (i.e. 27.8% of the total number of enterprises under transformation), which resulted in establishment of:

  • 1,545 (51) sole shareholder companies of the Treasury,
  • 17 (1) companies with participation of creditors, in accordance with Section III of the Act on Commercialization and Privatization (commercialization with conversion of liabilities).


In the year 2004, 23 state enterprises were commercialized, for which, in 17 cases, the founding bodies were province governors and, in the case of 6 enterprises, the founding body was the Minister of the Treasury.

 

In December 2004, 2 state enterprises were commercialized:

 

 

 

 

  • Przedsiębiorstwo Nasiennictwa Ogrodniczego “CNOS” in Poznań (founding body - governor of the wielkopolskie province)
  • Rejonowe Przedsiębiorstwo Wodociągów i Kanalizacji in Tychy (founding body - governor of the śląskie province)

 

State enterprises were commercialized into sole shareholder companies of the Treasury in 8 provinces: śląskie province – 11, wielkopolskie province – 3, małpolskie province – 2, mazowieckie province – 2, pomorskie province – 2, lubuskie province – 1, podlaskie province – 1, świętokrzyskie province – 1.

 

Between August 1, 1990 and December 31, 2004, the Ministry of Ownership Transformation / Ministry of the Treasury and the Privatization Agency made available shares / stakes in 1,008 (44) Treasury companies:

  • 352 (43) – by way of indirect privatization (Treasury corporations),
  • 17 (1) – in accordance with Section III of the Act on Commercialization and Privatization,
  • 127 – under the framework of BPU (banking settlement procedure) – liabilities swap,
  • 512 – by way of contribution of shares / stakes to National Investment Funds (NIF).


In the year 2004, privatization of 10 Treasury corporations (sole shareholder companies of the Treasury) was initiated through the sale of the first block of shares. The disposal of shares/stakes in 7 companies took place by way of invitation to negotiations, 2 companies in a public offer and 1 company by way of a public tender.

  • Fabryka Maszyn i Urządzeń “TAGOR” S.A. in Tarnowskie Góry - 85% of shares, investor: Zabrzańskie Zakłady Mechaniczne S.A. in Zabrze,
  • Przedsiębiorstwo Energetyczne Systemy Ciepłownicze S.A. in Częstochowa – 85% of shares, investor: Fortum Power and Heat Oy (Finland).

 

In the year 2004, privatization continued in 120*** companies with Treasury shareholding, through sale of subsequent Treasury shares / stakes.   • Zakłady Podzespołów Radiowych “MIFLEX” S.A. in Kutno – 25% of shares, investor: Miflex-Invest Sp. z o.o., privatization completed,
  • LUSATIA Noble Mode S.A. in Żary – 25,28% of shares, investor: Orkan Sp. z o.o., privatization completed,
  • Odlewnia Żeliwa S.A. in Zawiercie – 16,70% of shares, investor: Gwarant Sp. z o.o., privatization completed,
  • Kuźnia Jawor S.A. in Jawor – 9,85 % of shares, investor: Gwarant Sp. z o.o., privatization completed,
  • Firma Chemiczna “Dwory” S.A. in Oświęcim – 25,05% of shares, public offer, privatization completed,
  • Białostockie Fabryki Mebli S.A. in Białystok – 15,49% of shares, investor: Fabryki Mebli “FORTE” S.A., privatization completed,
  • Przedsiębiorstwo Budowy Szybów S.A. in Bytom – 13,08% of shares, investor: KOPEX S.A., privatization completed,
  • Zakłady Chemiczne “ROKITA” S.A. in Brzeg Dolny – 25% of shares, investor: PCC AG (Germany), privatization completed,
  • PCC RAIL SZCZAKOWA S.A. in Jaworzno – 25,04% of shares, investor: PCC AG (Germany), privatization completed,
  • Zakłady Piwowarskie GŁUBCZYCE S.A. in Głubczyce – 8,36% of shares, investor: MERKURY S.A., privatization completed,
  • NORDKALK MIEDZIANKA S.A. in Miedzianka – 3,78% of shares, investor: NORDKALK Oyj Abp (Finland), privatization completed,
  • Przedsiębiorstwo Robót Drogowych S.A. in Płock – 17,13% of shares, investor: individuals,
  • Przedsiębiorstwo Robót Drogowych S.A. in Mielec – 10,329% of shares, investor: Przedsiębiorstwo Budowy Dróg i Mostów S.A. in Tarnów,
  • “WYBOROWA” S.A. in Poznań – 0,015% of shares, investor: Santa Lina S.A. (France),
  • Walcownia Metali “Łabędy” S.A. in Gliwice – 12,25% of shares, investor: KGHM “Metale” S.A.

 

 

In December 2004, took place the disposal of shares in 3 National Investment Founds:

 

 

 

 

 

 

  • DRUGI NARODOWY FUNDUSZ INWESTYCYJNY S.A. – 2,58% of shares, privatization completed,
  • NARODOWY FUNDUSZ INWESTYCYJNY IMIENIA EUGENIUSZA KWIATKOWSKIEGO S.A. – 8,95% of shares, privatization completed,
  • NARODOWY FUNDUSZ INWESTYCYJNY "PROGRESS" S.A. – 2,03% of shares.

Between August 1, 1990 and the end of December 2004, 2,216 (138) applications for direct privatization were accepted, in accordance with article 37 of the Act on Privatization of State Enterprises and article 39 of the Act on Commercialization and Privatization (that figure accounts for 39.3% of the total number of privatized enterprises). 2,119 (177) state enterprises were struck from the register.

In the year 2004, 52 applications for direct privatization were accepted (20 by way of sale, 10 by way of contribution of the enterprise to the company and 22 were given to be used for consideration).

Enterprises, which were granted permission for direct privatization in 2004, were distributed over 16 provinces, most of them were located in the łódzkie province (9) and in the małopolskie province (7).

Within that period 52 directly privatized state enterprises were struck from the register of enterprises.

In the period between August 1, 1990 and the end December 2004 no objections were raised towards 1,853 (109) applications for liquidation because of poor financial situation in accordance with art. 19 of the Act on State Enterprises. This figure accounts for 32.9% of the total number of privatized enterprises. 990 (144) enterprises were struck from the register, while in 673 (49) bankruptcy was declared.

In the year 2004 the Minister of the Treasury did not raise objections towards 23 applications for liquidation for economic reasons.

Companies mentioned above were located in 7 provinces, most of them in the mazowieckie province (6) and in the śląskie province (5).

In 55 cases liquidation was completed by removal from the register and in the case of 3 liquidated enterprises bankruptcy was declared.
