Ownership transformation of state enterprises as of August 31, 2004



In the period between August 1, 1990 and the end of August 2004, privatisation processes were initiated in 5,568 (265)* state enterprises under the Act on Privatisation of State Enterprises, the Act on Commercialisation and Privatisation of State Enterprises and article 19 of the Act on State Enterprises.

In the register of state enterprises (REGON), as of June 31, 2004, there were 1,637 state enterprises **.


As of June 30, 2004, the Minister of the Treasury was the founding body for 32 enterprises and one a state bank, and he supervised 1,638 companies, including 477 Treasury corporations (sole shareholder companies of the Treasury) and 1,161 companies in which the Treasury held shares or stakes.

As of August 31, 2004, 1,557 (47) state enterprises were commercialised (i.e. 27.8% of the total number of enterprises under transformation), which resulted in establishment of:

  • 1,540 (46) sole shareholder companies of the Treasury,
  • 17 (1) companies with participation of creditors, in accordance with Section III of the Act on Commercialisation and Privatisation (commercialisation with conversion of liabilities).



In the period January - August 2004, eighteen state enterprises were commercialised, for which, in 13 cases, the founding bodies were province governors and, in the case of 5 enterprises, the founding body was the Minister of the Treasury.

In August 2004, 3 state enterprises was commercialised (founding body – governor of the śląskie province):

  • Rejonowe Przedsiębiorstwo Wodociągów i Kanalizacji w Zawierciu
  • Biuro Studiów i Projektów Górniczych w Katowicach
  • Przedsiębiorstwo Państwowej Komunikacji Samochodowej w Cieszynie

Between August 1, 1990 and August 31, 2004, the Ministry of Ownership Transformation / Ministry of the Treasury and the Privatisation Agency made available shares / stakes in 1,003 (39) Treasury companies:

  • 347 (38) – by way of indirect privatisation (Treasury corporations),
  • 17 (1) - in accordance with Section III of the Act on Commercialisation and Privatisation,
  • 127 - under the framework of BPU (banking settlement procedure) – liabilities swap,
  • 512 - by way of contribution of shares / stakes to National Investment Funds (NIF).



Within the period of January – August 2004, privatisation of 5 Treasury corporations (sole shareholder companies of the Treasury) was initiated through the sale of the first block of shares.

Within the period of January – August 2004, privatisation continued in 69 companies with Treasury shareholding, through sale of subsequent Treasury shares / stakes. In August 2004, shares / stakes were sold in the following 5 companies:

  • Olkuskiej Fabryka Maszyn Emaliowanych "EMALIA" S.A. w Olkuszu – 25.0% of shares, investor: Jarosław Kopera prowadzący działalność gospodarczą pod firmą CANDELA Zakład Pracy Chronionej, privatisation completed
  • Zakładów Elektrotechniki Motoryzacyjnej S.A. w Warszawie – 25.0% of shares, investor: Zachodni Fundusz Inwestycyjny S.A., privatisation completed,
  • Przedsiębiorstwa Przemysłu Ziemniaczanego NOWAMYL S.A. w Łobzie – 1.31% of shares, investor: Wielkopolskie Przedsiębiorstwo Przemysłu Ziemniaczanego S.A., privatisation completed
  • Polskich Zakładów Optycznych S.A. w Warszawie – 25.01% of shares, investor: Zachodni Fundusz Inwestycyjny S.A., privatisation completed,
  • Xella beton komórkowy Sp. z o.o. (następca prawny spółki YTONG Polska Sp. z o.o.)
    w Warszawie – 3.99% of stakes, investor: XELLA PORENBETON HOLDING AG (Niemcy), privatisation completed.

In August 2004, the Ministry of the Treasury sold 9.49% of shares: NARODOWY FUNDUSZ INWESTYCYJNY PIAST S.A. w Warszawie, GPW.

Between August 1, 1990 and the end of August 2004, 2,195 (117) applications for direct privatisation were accepted, in accordance with article 37 of the Act on Privatisation of State Enterprises and article 39 of the Act on Commercialisation and Privatisation (that figure accounts for 39.2% of the total number of privatised enterprises). 2,094 (163) state enterprises were struck from the register.

 

Within the period of January – August 2004, 31 applications for direct privatisation were accepted (13 by way of sale, 7 by way of contribution of the enterprise to the company and 11 were given to be used for consideration). Within that period 32 directly privatised state enterprises were struck from the register of enterprises.

In the period between August 1, 1990 and the end of August 2004 no objections were raised towards 1,845 (101) applications for liquidation because of poor financial situation in accordance with art. 19 of the Act on State Enterprises. This figure accounts for 33.0% of the total number of privatised enterprises. 969 (123) enterprises were struck from the register, while in 673 (49) bankruptcy was declared.

Within the period of January – August 2004, the Minister of the Treasury did not raise objections towards 15 applications for liquidation for economic reasons, whereas in 34 cases liquidation for economic reasons was completed and in the case of 3 liquidated enterprises bankruptcy was declared.
 




* The figures in brackets concern privatisation activities undertaken by August 31, 2004, by the Government remaining in office since October 19, 2001 (4th Parliament of the 3rd Republic of Poland).
